Description

The Manager, Tax and Regulatory Compliance is responsible for managing the company’s international tax strategy and tax compliance in various international jurisdictions, including all facets of income, sales, excise, and payroll taxes.  In addition, this role is responsible for managing the company’s compliance with other statutory requirements, such as the administration of employee share based compensation and share ownership plans, share repurchase plans, SEDI and TSX reporting, and dividend payments.

 Accountabilities Will Include:

Tax strategy:

  • Research and provide recommendations on the Company’s international tax strategy and corporate organizational structure to create efficient tax structure
  • Research and provide recommendations on transfer pricing methodologies to ensure compliance with local laws and regulations while ensuring the Company’s overall goals are met
  • Research tax-saving opportunities in foreign jurisdictions, such as potential research and development incentive programs or various other tax reduction programs
  • Research and provide recommendations on foreign sales, excise, and other tax matters
  • Liaise with foreign tax and human resources experts to determine the most efficient employment/contractor relationships in various jurisdictions to manage the Company’s tax risk
  • Review sales contracts and other legal agreements to ensure all tax issues are addressed

 

Tax compliance:

  • Manage the Company’s international income tax compliance efforts for all entities by liaising with professional services providers
  • Ensure the Company’s internally prepared entity financial statements are compliant with domestic and foreign requirements and regulations
  • Prepare tax working papers to support amounts presented in income tax returns
  • Manage the Company’s income tax provision by liaising with professional service providers
  • Manage the Company’s annual Scientific Research and Experimental Development (“SRED”) process and liaise with external experts and internal technical resources to ensure filings are completed one time and to a high standard
  • Prepare transfer pricing documentation in support of the Company’s transfer pricing methodologies
  • Ensure intercompany legal agreements are in place and reflect the business terms applicable to intercompany transactions
  • Ensure all domestic HST and PST returns are filed on a timely basis
  • Manage the Company’s U.S. State and Local tax compliance, and ensure all sales and income tax returns are filed on a timely basis
  • Manage the Company’s compliance with various other international value added taxes (“VAT”)

 

Regulatory Compliance:

  • Administer the Company’s share based compensation plans, including managing the Company’s stock option administration software, Solium
  • Administer the Company’s Employee Share Ownership Plan, including completing the appropriate calculations and liaising with the Company’s transfer agent, B.C. Government, and designated broker to ensure shares are issued accurately
  • Prepare communications to employees regarding the above Plans
  • Act as a resource for employees on various personal tax matters and considerations as related to the above Plans
  • Ensure all SEDI reporting is completed accurately and on time
  • Ensure all TSX reporting requirements (Forms 1, 3, 5, and 14) are adhered to and reporting is completed accurately and on time
  • Administer the Company’s share buyback program under Normal Course Issuer Bids
  • Administer the Company’s dividend payment by liaising with transfer agent and ensure accurate completion of related tax slips
  • Prepare working papers supporting the calculation of the Company’s stock based compensation expense, and Share Capital note disclosure

 

Other Duties:

  • Act as a key resource for other information requests related to issued and outstanding common shares
  • Provide assistance related to accounting for income taxes and related disclosures
  • Various other projects and duties as assigned from time to time

 

What You’ll Need:

  • Certified Professional Accountant, Chartered Accountant, or Certified General Accountant qualification.
  • Accountability – Takes ownership of personal responsibilities.
  • Ability to learn quickly and understand complex business operations.
  • Ability to see the Big Picture – possesses the ability to understand the impact that actions and decisions may have in other areas.
  • Ability to clearly articulate risks and opportunities and present business cases to senior management for various options available.

  • Extensive experience with Microsoft Office suite, especially MS Excel.

 

Preferred skills and qualifications:

  • Experience with financial applications, preferably Netsuite, Solium Shareworks, and Avalara Tax.
  • Experience with complex international operations.
  • Experience with complex transfer pricing scenarios.
  • Experience with Canadian SRED claims.
  • Knowledge of and experience with various U.S. State and Local tax issues.
